1. Authorization to Record

The Participant voluntarily authorizes the Company to photograph, film, audio record, livestream, interview, and otherwise capture the Participant's image, likeness, voice, name, statements, appearance, and performance.

Unless otherwise expressly modified or revoked by a subsequent written agreement signed by both the Participant and the Company, this authorization shall remain valid and shall apply not only to the recordings made in connection with the present project, but also to any future photography, audio recordings, video recordings, interviews, promotional materials, livestreams, or other audiovisual content involving the Participant and the Company, without the need to execute a new authorization for each production.

2. Grant of Rights

The Participant grants the Company a perpetual, worldwide, irrevocable, royalty-free, transferable, sublicensable right to use, reproduce, edit, modify, translate, distribute, display, publish, advertise, promote, sell, broadcast, and otherwise commercially exploit the recordings in any media now known or later developed.

The Participant acknowledges that the above amount constitutes full and final compensation. No additional payments, royalties, commissions, residuals, or other compensation shall ever be owed.

4. Waiver of Claims

The Participant permanently waives any claims relating to privacy, publicity rights, editing, commercial use, compensation, or future distribution of the recordings.

5. Release of Liability

The Participant releases and forever discharges the Company from any liability arising from the use of the recordings.

6. Future Recordings

This Agreement shall remain in full force and effect and shall automatically apply to any future recordings involving the Participant and the Company.

The parties expressly agree that this Agreement will continue to govern all future audiovisual productions, photographs, interviews, recordings, promotional campaigns, and related media unless they execute a separate written agreement that expressly modifies, replaces, or supersedes this Agreement in whole or in part.

No future recording shall require the execution of a new release unless the parties specifically agree otherwise in writing.

7. Artificial Intelligence

The Company may use artificial intelligence technologies to edit, translate, subtitle, dub, enhance, or otherwise process the recordings without altering their intended context.

8. Independent Status

Nothing in this Agreement creates an employment, partnership, agency, or joint venture relationship.

9. Indemnification

The Participant agrees to indemnify and hold harmless the Company against claims arising from any breach of this Agreement.

10. Governing Law

This Agreement shall be governed by the laws of the State of North Carolina, USA.

11. Entire Agreement

This document constitutes the entire agreement between the parties and supersedes all prior oral or written agreements.

12. Voluntary Agreement

The Participant acknowledges having read, understood, and voluntarily signed this Agreement.

ACUERDO DE AUTORIZACIÓN PARA EL USO DE IMAGEN, VOZ, VIDEO Y DEMÁS CONTENIDOS AUDIOVISUALES

El presente Acuerdo se celebra el día , entre Pro Financial Group, incluyendo sus afiliadas, subsidiarias, directivos, empleados, agentes, sucesores y cesionarios (la “Compañía”), y:

1. Autorización para Grabar

El Participante autoriza voluntariamente a la Compañía a fotografiar, filmar, grabar audio, transmitir en vivo, entrevistar y capturar su imagen, voz, nombre, declaraciones, apariencia y participación.

Salvo que esta autorización sea modificada o revocada expresamente mediante un acuerdo posterior firmado por ambas partes, la presente autorización permanecerá vigente y será aplicable no solo a las grabaciones realizadas para el proyecto objeto de este Acuerdo, sino también a cualquier futura sesión fotográfica, grabación de audio, grabación de video, entrevista, transmisión en vivo, material promocional o cualquier otro contenido audiovisual realizado entre el Participante y la Compañía, sin necesidad de firmar una nueva autorización para cada producción.

2. Cesión de Derechos

El Participante concede a la Compañía una licencia perpetua, mundial, irrevocable, libre de regalías, transferible y sublicenciable para utilizar, reproducir, editar, modificar, traducir, distribuir, publicar, promocionar, vender y explotar comercialmente las grabaciones en cualquier medio existente o futuro.

El Participante reconoce que dicha cantidad constituye la compensación total y definitiva, renunciando a cualquier pago adicional, regalía o comisión futura.

4. Renuncia a Reclamaciones

El Participante renuncia de manera permanente a cualquier reclamación relacionada con derechos de imagen, privacidad, edición, compensación o uso comercial de las grabaciones.

5. Liberación de Responsabilidad

El Participante libera de toda responsabilidad a la Compañía por el uso de las grabaciones.

6. Grabaciones Futuras

El presente Acuerdo permanecerá vigente y será aplicable automáticamente a cualquier grabación futura realizada entre el Participante y la Compañía.

Las partes acuerdan expresamente que este Acuerdo regulará todas las futuras producciones audiovisuales, fotografías, entrevistas, grabaciones, campañas publicitarias y demás contenidos relacionados, salvo que ambas partes suscriban un acuerdo posterior por escrito que modifique, sustituya o deje sin efecto total o parcialmente el presente Acuerdo.

Ninguna grabación futura requerirá la firma de una nueva autorización, excepto cuando ambas partes acuerden expresamente lo contrario mediante un documento escrito.

7. Inteligencia Artificial

La Compañía podrá utilizar tecnologías de inteligencia artificial para editar, traducir, subtitular, doblar o mejorar las grabaciones sin alterar su contexto esencial.

8. Relación Independiente

Nada en este Acuerdo crea una relación laboral, sociedad o representación.

9. Indemnización

El Participante acepta indemnizar y mantener indemne a la Compañía por cualquier incumplimiento de este Acuerdo.

10. Ley Aplicable

Este Acuerdo se regirá por las leyes del Estado de Carolina del Norte, Estados Unidos.

11. Acuerdo Completo

Este documento constituye el acuerdo completo entre las partes y sustituye cualquier acuerdo previo.

12. Aceptación Voluntaria

El Participante declara haber leído, comprendido y firmado voluntariamente este Acuerdo.
